End User License Agreement

Subject to your compliance with this EULA, Wise Women grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes and in accordance with the Usage Rules set forth in the Apple Media Services Terms and Conditions.

You may not:

• Copy, modify, or create derivative works of the App or any content within it.
• Reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code of the App.
• Sublicense, sell, rent, lease, transfer, or assign the App or your rights under this EULA to any third party.
• Remove, alter, or obscure any proprietary notices (including copyright notices) on the App or its content.
• Use the App for any unlawful, harmful, or fraudulent purpose.
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks.
• Attempt to gain unauthorised access to any portion of the App, other accounts, or related systems.

The App and all content, features, and functionality therein — including but not limited to text, graphics, logos, images, audio, video, and software — are owned by or licensed to Wise Women and are protected by copyright, trademark, and other applicable intellectual property laws.

This EULA does not grant you any intellectual property rights in the App. All rights not expressly granted are reserved by Wise Women.

You retain ownership of any content you submit, post, or display within the App (“User Content”). By submitting User Content, you grant Wise Women a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content solely for the purpose of operating and improving the App. We will not sell your User Content to third parties.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third-party rights or violate any applicable law.

The App may provide access to third-party services, websites, or content (“External Services”). Wise Women is not responsible for examining or evaluating External Services and does not warrant or endorse them. You use External Services at your own risk and subject to those third parties’ terms.

You agree to comply with any applicable third-party terms when using the App with any third-party service.

Your use of the App is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

Wise Women may, at its sole discretion, develop and provide App updates, which may include bug fixes, patches, enhancements, new features, or entirely new versions (collectively, “Updates”). Updates may also modify or delete certain features. You agree that Wise Women has no obligation to provide Updates or to continue providing or enabling any particular features or functionality.

We may update the terms of this EULA at any time. We will notify you of material changes via the App or email. Your continued use of the App after the effective date of the updated EULA constitutes your acceptance.

Certain features of the App require a paid membership or in-app purchase. All purchases are subject to the payment terms presented at the time of purchase and to the relevant app store’s terms and conditions. Membership fees are generally non-refundable except as required by applicable law or as expressly stated at the time of purchase.

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the App and delete all copies of the App in your possession.

Wise Women may also suspend or terminate your access if you breach our Terms of Service. Sections that by their nature should survive termination will continue to apply.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WISE WOMEN DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WISE WOMEN OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP.

WISE WOMEN’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

This EULA is governed by and construed in accordance with the laws of the jurisdiction in which Wise Women Masterminds is registered, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction, and you consent to personal jurisdiction in those courts.

If you downloaded the App from Apple’s App Store, the following additional terms apply:

• Acknowledgement: You and Wise Women acknowledge that this EULA is between you and Wise Women only, and not with Apple Inc. (“Apple”). Wise Women, not Apple, is solely responsible for the App and its content.
• Scope of license: The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance and support: Wise Women, not Apple, is solely responsible for providing maintenance and support services for the App, if any. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
• Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Wise Women’s sole responsibility.
• Product claims: Wise Women, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual property rights: In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Wise Women, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of such intellectual property infringement claim.
• Legal compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
